Description

Corporate governance and compliance, the set of legal and other rules, internal practices, and norms by which an organization is managed, are topics of significant importance in strategic business administration. How an institution is internally governed influences rights, duties and relationships among the relevant business entity’s stakeholders, and ultimately how an institution is managed. This course will address the fundamentals of corporate governance from a legal perspective, addressing the different rights and obligations of the board of directors, senior management, investors, regulators, customers, and other stakeholders. This course will also address the highly related principles of risk management. Relevant international guidelines and perspectives will be considered as well. Students will examine the effectiveness and execution of governance roles and responsibilities, as well as ethical issues raised.
